The following will be effect with initial order of Spirit Earth products. 1. My Initial Order expresses my intent to become an Independent Retail Distributor with the respect to the sale and/or distribution of the products of Spirit Earth LLC according to the terms set forth by Spirit Earth LLC including but limited to retail product pricing for purpose of sales, the purpose and usage of professional products, visual display schematic and requirements set forth now and in future. 2. I agree that I am an Independent Retail Distributor, and not an employee, agent, partner, legal representative, member or franchisee of Spirit Earth LLC and, therefore, I have no power or authority to incur any debt, obligation, or liability, or make any promise or contract, on behalf of Spirit Earth LLC. I understand that I irresponsible for but not limited to, federal, state or local tax purposes and, further, that I am solely responsible for my business and sales taxes. 3. I have read and agree to comply with and within Independent Retail Distributor Application & Agreement and the Independent Retail Distributor Terms & Conditions annexed hereto, and the Policies & Procedures, Business Manual and Training Guides of Spirit Earth LLC., all of which documents are specifically incorporated herein. I understand that said Independent Retail Distributor Application & Agreement, Policies & Procedures, Business Manual and Training Guides may be amended at any time, and from time to time, at the sole discretion of Spirit Earth LLC and I herein expressly agree to be bound by, and/or comply with, any and all such amendment thereto. Notification of any said amendments will be published in official Spirit Earth LLC materials and or online. The continued purchase, sales, distribution and products being used for business purposes shall constitute my acceptance of any and all such amendments. 4. I understand that I have the right to terminate this Agreement at any time, with or without reason. I further understand and agree that Spirit Earth LLC may terminate this agreement at any time, with or without reason. I understand that by any such termination I must return all materials including but not limited to Spirit Earth Business Manual, Training Guide, product displays and visual displays and they must be returned unharmed and in useable condition.
